Managing Director, Chief Compliance Officer – Investment Management
An MD-level CCO seat with a board voice and a leadership-committee vote. Seats like this rarely open.
The Firm and the Mandate
Our client is a well-established, Chicago-headquartered wealth management and trust institution whose investment management arm oversees proprietary mutual funds, separately managed accounts, and model portfolios. The firm is appointing a Managing Director to serve as Chief Compliance Officer of its investment adviser and fund complex. Reporting to the General Counsel, this executive will sit on the investment management leadership committee and serve as the compliance voice to the fund board of trustees.
This is a strategic leadership role for a seasoned compliance executive who wants to set direction, build a high-performing team, and be a true advisor to the CIO and business heads, not just a control function.
Scope of the Role
- Lead the investment management compliance function as designated CCO under Rules 38a-1 and 206(4)-7.
- Set the compliance strategy, risk assessment, and annual testing plan for the adviser and fund complex.
- Deliver the CCO's annual report and regular updates to the fund board and independent trustees.
- Oversee surveillance of portfolio management, trading, valuation, and fund operations, and keep strengthening controls.
- Serve as primary point of contact for the SEC and other regulators; lead examinations and remediation.
- Advise leadership on new products, distribution initiatives, and emerging SEC and CFTC/NFA requirements.
- Build, lead, and mentor a team of compliance managers and analysts; own budget and technology priorities.
- Partner with Legal, Risk, Internal Audit, and enterprise compliance on a consistent control framework.
Experience and Attributes
- 12+ years of investment management compliance experience, including meaningful time as a CCO or deputy CCO of an RIA and registered fund complex.
- Expert-level knowledge of the Investment Company Act and Investment Advisers Act of 1940.
- Background within a bank, trust company, or diversified wealth platform with proprietary funds strongly preferred.
- Proven track record leading SEC examinations and engaging directly with fund boards.
- Executive presence and the ability to turn complex regulatory issues into clear, decision-ready recommendations.
- Demonstrated success building and leading compliance teams.
- JD strongly preferred; CRCP or IACCP a plus.
