Position Overview:

Our client is a well-established alternative investment firm with over $25 billion in assets under management, known for its disciplined, opportunity-driven investment style. Drawing on decades of experience, the firm takes a flexible, research-intensive approach to uncovering value across a wide range of asset classes, sectors, and geographies.

With a track record of navigating dynamic and complex markets, the firm invests across the capital structure—often in less conventional or overlooked situations. Its team brings deep expertise across credit, opportunistic strategies, and special-situation investing, with a focus on capturing idiosyncratic value and navigating dislocated or inefficient markets.

The Legal and Compliance Department oversees all legal, regulatory, and compliance matters globally. Currently, they seek to hire an Associate General Counsel to join their growing team in New York. This role will provide corporate legal support with a strong focus on contract management and cross-functional collaboration.

 

The Associate General Counsel will be responsible for drafting, negotiating, and managing a wide range of domestic and international commercial agreements that are critical to the firm’s operations. These include (but are not limited to) non-transactional NDAs, Master Services Agreements, inbound licensing agreements, technology contracts, purchase agreements, vendor licenses, office leases, outing waivers, and internal forms such as purchase orders. The role will work closely with sourcing, legal, and business stakeholders to ensure all contracts align with the firm’s legal standards, risk tolerance, and strategic objectives.

 

Responsibilities will include (but not be limited to):

  • Draft, review, and negotiate a broad range of commercial and corporate agreements, including confidentiality agreements, engagement letters, vendor contracts, master services agreements, licensing and technology contracts, office leases, resolutions, and other related documents.
  • Lead contract negotiations and manage redlining processes with both internal stakeholders and external counterparties.
  • Translate complex legal concepts into practical, business-oriented guidance to facilitate sound decision-making.
  • Develop, maintain, and improve standardized templates, contract playbooks, and internal forms, including purchase order documentation, ensuring consistency with legal and company standards.
  • Collaborate across departments (e.g., procurement, IT, operations) to streamline contract workflows, enhance approval efficiency, and maintain audit readiness.
  • Provide ad-hoc legal support for corporate matters and contribute to the seamless integration of legal services across global business operations.

 

Qualifications:

  • JD and active admission to a state bar are required
  • ~4–8 years of relevant legal experience, including commercial contract negotiation
  • Familiarity with legal issues related to vendor contracting, licensing, and procurement
  • Experience working in or with financial services, asset management, or other regulated industries (preferred but not mandatary)
  • Strong drafting, communication, and organizational skills
  • Familiarity with ERP and contract lifecycle systems preferred
