Legal Counsel – Fund Formation

Position Overview

Our client is a leading global, credit focused alternative investment firm managing approximately $40 billion across hedge fund and private credit strategies. The firm specializes in complex credit, distressed, and special situations investments, with deep expertise across restructurings, bankruptcies, and capital structure driven opportunities. They invest globally and are known for taking active roles in transactions, including leading creditor groups and structuring bespoke financing solutions for a predominantly institutional investor base.

The firm is seeking a hedge fund and private equity fund formation attorney to join its growing legal team and report directly to the General Counsel. This role offers meaningful responsibility across fund formation, fundraising, and ongoing fund operations, with direct exposure to senior leadership and investment professionals. The position is well suited for a 5+ year attorney seeking a sophisticated in house platform with hands on responsibility and long term growth potential.

Responsibilities will include (but not be limited to):

  • Support senior legal leadership across the firm’s investment products, including distressed credit hedge fund strategies, dislocation focused private equity style vehicles, and funds of one and separately managed accounts, spanning the full fund lifecycle
  • Draft and negotiate core fund documentation, including private placement memoranda, limited partnership agreements, and related governing documents, with increasing ownership over defined workstreams
  • Participate in side letter negotiations and fund closings, advising on investor driven structuring issues, document interpretation, and ongoing fund administration matters
  • Review and advise on investor communications and marketing materials in collaboration with Investor Relations, ensuring compliance with applicable regulatory guidance
  • Draft term sheets and support negotiations of placement agreements, private wealth platform arrangements, and related documentation, working directly with business stakeholders and outside counsel
  • Assist in the drafting and maintenance of internal policies and procedures addressing regulatory, compliance, and operational matters
  • Support US and non US regulatory filings, including Form ADV updates, AIFMD submissions, Williams Act filings, and related investor and regulatory questionnaires
  • Review commercial and operational agreements, including vendor and service provider contracts, gaining broad exposure to the firm’s business and infrastructure

Qualifications:

  • 5+ years of experience in the investment management practice of a top tier law firm, or a combination of law firm and in house experience at a private equity, private credit, or alternative investment manager
  • Strong fund formation experience, with particular depth advising on private equity and private credit vehicles and exposure to hedge fund structures viewed as a plus
  • Excellent legal drafting skills, including private placement memoranda, limited partnership agreements, and investor side letters
  • Exceptional attention to detail and the ability to manage complex documentation and regulatory workstreams efficiently
  • Strong written and verbal communication skills, with comfort interacting directly with senior stakeholders, including the Chief Operating Officer and the Head of Investor Relations
  • Ability to operate with increasing autonomy while owning defined regulatory and documentation responsibilities, paired with sound judgment on escalation
  • Strong organizational and project management skills, with consistent follow through and execution
  • Intellectual curiosity and commercial awareness, with interest in understanding how legal work supports investment, fundraising, and investor relationships
  • Desire to practice at a high level within a collaborative, performance driven platform that values judgment, quality, and sustainability
