Assistant General Counsel / VP
Our client is a private, global asset manager (~$75 Billion AUM), specializing in multi asset, fixed income, equities and alternatives. They offer asset and risk management, investment advisory, and fund monitoring services globally.
Currently, they seek to hire an experienced attorney to join its legal team as a Vice President / Assistant General Counsel specializing in Equity, Fixed Income and Multi-Asset investment management matters.
Responsibilities (will include but not be limited to):
- Offer expert legal support to Equity, Fixed Income and Multi-Asset investment management businesses
- Assist and advise in structuring, organizing, offering, and maintaining private funds, sub-advised mutual funds and separately managed accounts.
- Draft, review and negotiate such constituent documentation and side letters.
- Work closely with members of the portfolio management, global distribution, finance, operations, and other appropriate teams.
- Set up derivatives trading documentation.
- Collaborate with various stakeholders / teams including the Compliance department.
- Assist with analytics, negotiations, and other core legal tasks.
Qualifications:

Juris Doctor from accredited law school
- Significant prior legal experience with either a law firm and/ or in-house experience at a financial services institution.
- At least 3+ years of direct investment management experience – specifically formation and maintenance of private and/or registered funds and SMAs – including drafting and negotiation of fund/account documents and related compliance, trading and operations requirements and protocols.
- Experience working on derivatives documentation (ISDA, FCM, MSFTA, and options agreements) preferred.
- Experience working on corporate restructurings involving loan and high-yield bonds is a bonus.
- Experience with corporate governance issues, corporate secretarial duties and related issues in a variety of jurisdictions.
- Excellent advocacy, negotiation, interpersonal, organizational, legal research and verbal and written communication skills – ability to interact diplomatically and understand importance of business sensitivities and confidentiality.
- Ability to take initiative, be proactive and work independently.
- Possess the eagerness to take on broad scope of projects, both within and outside his/her core competencies.
