Corporate Paralegal

 

Position Overview:

Our client is a leading, global alternative investment firm, managing assets of approximately $15 billion, across hedge fund and private equity strategies. They focus on distressed and deep value opportunities, specializing in taking active roles in transactions through financial restructurings, serving on creditors’ committees, and / or leading business turnarounds.  

 

Currently, they are seeking to hire a highly skilled and resourceful Corporate Paralegal to support the attorneys in the Legal and Compliance Department and assist with high caliber projects.  The ideal candidate will be a proactive individual, comfortable working in a fast paced environment, interacting with senior management, and able to work independently.   

 

Responsibilities will include ( but not be limited to):

  • Assist attorneys / compliance department with ensuring compliance with securities laws, rules and regulations, including listing standards
  • Assist with entity formation, including corporate name availability and reservation, assist with drafting of corporate organizational documents, assist with corporate records maintenance, and prepare foreign qualifications, dissolutions and withdrawals.
  • Draft ancillary documents under attorney supervision (e.g., officer's certificates, bylaws, corporate resolutions, stock certificates, collateral receipt letters, etc.).
  • Proofread and revise principle transaction documents (e.g., Private Placement Memorandum, Operating Agreement, Limited Partnership Agreement, etc.).
  • Assist with fund formation.
  • Maintain internal database of investor information.
  • Analyze and review subscription agreements and side letters
  • Disseminate documentation to clients and to outside parties; work efficiently with firm support services, such as, Reprographics, Document Production and outside couriers.
  • Create closing checklist and working group list; draft signature pages and assist with preparation of agreements, schedules and exhibits. Proof documents and track the status of document preparation. Incorporate client and outside counsel comments in documents.
  • Prepare closing files, labels, and folders and assist with the closing. Compile executed documents and save onto internal document management system (DeskSite).
  • Organize and distribute originally executed agreements to client and outside counsel. Compile and index documents for preparation of closing binder. Assemble and distribute closing binders in a timely fashion.
  • Any additional responsibilities as required by management.
  • Maintain database / spreadsheets recording and updating legal documentation (Confidentiality Agreements, Investment Committee Meeting Minutes, etc.) in Microsoft Excel;
  • Track expenses and assist with reimbursements and related reporting;
  • Gather data and compile various reports for legal team;
  • Organize, prioritize and appropriately handle legal documents and sensitive, confidential information and ensure action/attention required is addressed;
  • Notarize legal and other documents;
  • Assist in compliance matters related to Investment Advisors Act and manage compliance policies and procedures, operating and training manuals, and related documents in support of the compliance function;
  • Manage on-boarding of investors and limited partners into investment vehicles; and

 

Qualifications:

  • Substantial prior paralegal experience in corporate department of a law firm or in-house legal department is required.  (Supporting compliance function +)
  • The candidate must be a self-starter and highly organized individual who is detail-oriented, logical, able to multi-task and committed to meeting deadlines with minimal supervision;
  • Must possess excellent communication skills, both verbally and in written form, and proficiency in the use of technology
  • Ability to embrace new processes and incorporate new technology to meet client demands
  • High level reasoning and ability to make common sense decisions tempered by knowledge, often under difficult time constraints
  • Must pay attention to details and have the ability to follow up and follow through on projects
  • Qualification as a Notary Public would also be a plus
